TERMS OF USE

1. Payment Terms

A fifty percent (50%) deposit is required at the time of order. The remaining balance must be paid before shipment. Any unpaid amount after the due date will accrue interest at a rate of 1.5% per month (18% per annum).

2. Shipping and Risk of Loss

Unless otherwise agreed in writing, delivery shall be Ex Works (Elgin, IL). The buyer is responsible for all shipping costs, and risk of loss passes to the buyer upon delivery to the carrier. The Company shall not be liable for delay or failure in delivery.

3. Inspection and Acceptance

Buyer must inspect the products within 24 hours of receipt and notify the Company in writing of any defect or objection within 48 hours. Failure to provide such notice constitutes full acceptance of the products.

4. Return Policy

Returns are accepted only for standard products and subject to restocking fees: 10% within 30 days, 20% within 60 days, and 30% within 90 days. Returns are issued as store credit only. Products must be in original packaging and in resalable condition. Custom-made colors are non-cancelable and non-returnable.

5. Limited Warranty

Products are covered solely by the Applicable Limited Warranty provided with the product. The Company makes no other warranties, express or implied, including merchantability or fitness for a particular purpose.

6. Limitation of Liability

In no event shall Allinwood USA be liable for any consequential, incidental, or punitive damages. The total liability shall not exceed the amount paid for the product.

7. Indemnity

Buyer agrees to indemnify and hold harmless Allinwood USA from all claims, damages, or expenses arising out of installation, misuse, or resale of the products.

8. Governing Law & Forum

These Terms shall be governed by and construed under the laws of the State of Illinois. Jurisdiction shall lie exclusively in the courts of Kane County, Illinois.

9. General Provisions

These Terms constitute the entire agreement between the parties. Any legal claim must be filed within one (1) year of the event giving rise to it. If any provision is held invalid, the remainder shall remain in full effect. The Company may update these Terms at any time.
